1. Acceptance of Terms

Welcome to Destineries. By accessing, browsing, registering an account on, or otherwise using the Destineries platform, website, and related services (collectively, the "Service" or "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our Cookie Policy, which are incorporated herein by reference.

If you do not agree with any provision of these Terms, you must not access or use the Service. These Terms constitute a legally binding agreement between you and Destineries ("we", "us", "our", or "the Company"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

We may amend these Terms at any time as described in Section 19. Your continued use of the Service following the posting of amended Terms constitutes your acceptance of the amended Terms.

2. Description of Service

Destineries provides an AI-powered technology platform and marketplace that enables travel creators — including local guides, travel agents, hotels, homestays, content creators, and other travel businesses — to build, price, market, and sell travel packages to travellers. The Platform utilises artificial intelligence to assist in generating itineraries, pricing recommendations, marketing content, and other travel-related materials.

Important Notice: Destineries acts solely as a technology platform and marketplace facilitator. We are not a travel agency, tour operator, travel service provider, or party to any travel contract. All travel services are provided by independent travel creators and vendors who use our Platform. We do not own, operate, control, or manage any travel package, accommodation, transportation, or activity listed on the Platform.

The availability of specific features may vary depending on your account type, location, and applicable laws. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Eligibility and User Accounts

3.1 Eligibility

You must be at least 18 years of age to create an account and use the Service.
You must have the legal capacity to enter into a binding contract under applicable law.
You may not use the Service if you have been previously suspended or removed from the Platform.

3.2 Account Registration

You must provide accurate, current, and complete information during the registration process.
You must maintain and promptly update your account information to keep it accurate and complete.
You are responsible for maintaining the confidentiality and security of your account credentials and for all activities that occur under your account.
You must not share your account credentials with any third party or allow others to use your account.
You must notify us immediately of any unauthorised use of your account or any other security breach.
One person or entity may not maintain multiple accounts, and multiple persons may not share a single account.

3.3 Account Types

The Platform supports the following account types: (a) Creators — travel guides, agents, hotels, and content creators who list and sell travel packages; (b) Travellers — users who browse, book, and review travel packages; and (c) Administrators — platform staff who manage the Platform. Your rights and obligations may vary depending on your account type.

4. Travel Creator Obligations

If you are a travel creator who lists packages on the Platform, you agree to the following obligations:

Legal Compliance: You must hold all required licenses, permits, registrations, and insurance to lawfully provide the travel services you offer, and you must comply with all applicable local, national, and international laws and regulations, including consumer protection, travel industry, and tourism regulations.
Accurate Information: You must provide accurate, truthful, and non-misleading descriptions, images, pricing, availability, and other information about your travel packages.
Booking Fulfilment: You must honour confirmed bookings made through the Platform and provide the travel services as described in your package listings.
Verification: You must complete the identity and business verification process and submit all required documentation. You authorise us to verify your identity, credentials, and business information.
Data Protection: You must handle traveller personal data in compliance with applicable data protection laws, including the GDPR and other applicable privacy regulations.
Quality Standards: You must maintain reasonable quality standards for the services you provide and respond to traveller communications in a timely and professional manner.
Pricing Transparency: You must clearly communicate all pricing, including any additional fees, taxes, or surcharges, before booking confirmation.
Prohibited Content: You must not list content or services that are illegal, discriminatory, deceptive, or that infringe the rights of any third party.

5. Bookings, Payments, and Cancellations

5.1 Nature of Bookings

Bookings made through the Platform constitute agreements between the traveller and the travel creator. Destineries facilitates the transaction but is not a party to the travel contract. The travel creator is solely responsible for fulfilling the booked services.

5.2 Payment Processing

Payments for bookings are processed through third-party payment processors. Destineries does not store full payment card details. By submitting a booking, you authorise the applicable payment processor to charge your payment method for the total amount displayed at the time of booking, including any applicable taxes and fees.

5.3 Cancellation and Refund Policy

Cancellation policies and refund conditions are set by each travel creator and must be clearly communicated before booking confirmation. Travellers should review the cancellation policy applicable to each booking before confirming. Destineries may, at its discretion, facilitate dispute resolution between travellers and creators regarding cancellations and refunds, but is not responsible for the outcome of such disputes.

5.4 Platform Fees

Destineries may charge fees to travel creators for the use of the Platform, including commission on bookings and subscription fees. Applicable fees will be disclosed to creators at the time of registration and may be updated from time to time.

6. Prohibited Conduct

You agree not to engage in any of the following prohibited activities while using the Service:

Posting, uploading, or distributing false, misleading, fraudulent, or deceptive content.
Infringing the intellectual property rights, privacy rights, or other rights of any third party.
Using the Platform for any illegal, unauthorised, or unlawful purpose.
Attempting to circumvent, disable, or otherwise interfere with platform fees, security features, or processes.
Harassing, threatening, intimidating, or discriminating against other users, staff, or any individual.
Creating accounts under false or fraudulent pretences, or impersonating another person or entity.
Uploading viruses, malware, or other malicious code that may harm the Platform or its users.
Scraping, crawling, or using automated tools to collect data from the Platform without authorisation.
Soliciting personal or financial information from other users for fraudulent purposes.
Engaging in any conduct that could damage, disable, overburden, or impair the Platform's servers or networks.
Reverse engineering, decompiling, or disassembling any part of the Platform.
Using the Platform to send unsolicited commercial communications or spam.

We reserve the right to investigate and take appropriate action against any user who engages in prohibited conduct, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

7. AI-Generated Content

Our Platform uses artificial intelligence to assist in generating itineraries, package descriptions, pricing recommendations, marketing content, and other travel-related materials. The following terms apply to AI-generated content:

Review Responsibility: You are solely responsible for reviewing, verifying, and approving all AI-generated content before publishing it on the Platform or sharing it with travellers.
Accuracy: AI-generated content may contain errors, inaccuracies, or outdated information. You must verify all facts, prices, availability, and other details before relying on or publishing AI-generated content.
No Professional Advice: AI-generated content does not constitute professional travel, legal, financial, or medical advice. You should consult qualified professionals for specific advice.
Liability: Destineries is not liable for any damages or losses arising from your use of or reliance on AI-generated content.
Licence: By using our AI tools, you grant us a licence to process your input data (including images and text) for the purpose of generating the requested content.

8. Intellectual Property Rights

8.1 Platform Ownership

The Platform, including its design, software, source code, user interface, trademarks, logos, graphics, text, and all other content provided by Destineries, is the exclusive property of Destineries and is protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works of any part of the Platform without our prior written consent.

8.2 User Content

You retain ownership of all content you create, upload, or publish on the Platform ("User Content"). By posting User Content on the Platform, you grant Destineries a non-exclusive, worldwide, royalty-free, sublicensable, transferable licence to use, reproduce, modify, display, distribute, and otherwise exploit your User Content on and through the Platform for the purpose of operating, promoting, and improving the Service.

You represent and warrant that: (a) you own or have the necessary rights to all User Content you post; (b) your User Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party; and (c) your User Content complies with all applicable laws and these Terms.

8.3 Reviews and Feedback

By submitting reviews, ratings, or feedback on the Platform, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free licence to use, reproduce, modify, and display such content. You agree not to post false, misleading, or defamatory reviews.

9. Disclaimers and Warranties

Disclaimer of Warranties: The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Destineries disclaims all warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, error-free, secure, or that defects will be corrected.

No Warranty on Travel Services: Destineries does not warrant or guarantee the quality, safety, or legality of any travel package, accommodation, or service listed on the Platform, nor the accuracy of listings or the ability of travel creators to fulfil bookings. Travel services are provided solely by independent creators and vendors.

Third-Party Services: The Platform may integrate with or link to third-party services. We are not responsible for the availability, accuracy, or quality of third-party services and disclaim all warranties relating to them.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Destineries, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or goodwill, arising from or in connection with:

Your use of or inability to use the Service.
Any travel disruption, cancellation, accident, injury, or loss arising from bookings made through the Platform.
Inaccurate, incomplete, or misleading information provided by travel creators or other users.
Unauthorised access to or alteration of your data.
Third-party conduct or content.
Any AI-generated content or recommendations.

To the extent permitted by law, the total liability of Destineries for all claims arising from or related to the Service shall not exceed the amount you have paid to Destineries in the preceding twelve (12) months, or one hundred US dollars (USD $100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Destineries, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

Your use of the Service or violation of these Terms.
Your User Content, including claims of intellectual property infringement.
Your travel services, bookings, or interactions with travellers (if you are a creator).
Your violation of applicable laws or the rights of any third party.

We reserve the right to assume the exclusive defence and control of any matter subject to indemnification, in which case you will cooperate with us in asserting available defences.

12. Force Majeure

Destineries shall not be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government actions, labour disputes, internet or telecommunications failures, power outages, or other circumstances beyond our control.

13. Account Suspension and Termination

We reserve the right to suspend, restrict, or terminate your access to the Service at any time, with or without cause and with or without notice, if we believe that you have violated these Terms, applicable laws, or if such action is necessary to protect the Platform, its users, or third parties.

You may close your account at any time by contacting us at hello@destineries.com. Upon termination, all licences and rights granted to you under these Terms will immediately cease. The following provisions shall survive termination: intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

14. Reviews and Ratings

Travellers may submit reviews and ratings for travel packages and creators. We may display, edit, or remove reviews at our discretion. You must not submit false, misleading, or defamatory reviews, and you must not offer or accept incentives in exchange for reviews. Destineries is not responsible for the content of user-submitted reviews and does not endorse or verify the accuracy of any review.

15. Privacy and Data Protection

Our collection, use, and processing of your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where Destineries is registered, without regard to its conflict of law provisions.

16.2 Informal Dispute Resolution

Before initiating formal proceedings, the parties shall attempt in good faith to resolve any dispute through informal negotiation. The party initiating the dispute shall provide written notice to the other party, and the parties shall attempt to resolve the matter within 30 days of such notice.

16.3 Arbitration

Any dispute, claim, or controversy arising from or relating to these Terms or the Service that cannot be resolved through informal dispute resolution shall be finally resolved by binding arbitration, rather than in court, except where small claims court is available. The arbitration shall be conducted in accordance with applicable arbitration rules and in the jurisdiction where Destineries is registered. The arbitrator's decision shall be final and binding, and judgment may be entered on it in any court of competent jurisdiction.

16.4 Class Action Waiver

To the extent permitted by law, you and Destineries agree that each may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

17. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Destineries regarding the Service.
Severability: If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
No Partnership: Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Destineries.
Notices: We may provide notices to you via email, in-platform messages, or by posting on the Platform.

18. Third-Party Services and Links

The Platform may contain links to third-party websites and services or integrate with third-party applications. We are not responsible for the content, policies, or practices of any third-party sites or services. You acknowledge that Destineries shall not be liable for any damage or loss caused by your use of third-party services.

19. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, by sending an email notification or displaying a prominent notice on the Platform. The "Last updated" date at the top of this page indicates when the Terms were last revised. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
